1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," "your") and Refinish Distributors Inc., a California corporation ("RDI," "Company," "we," "us," "our"), governing your access to and use of the website refinishgo.com (the "Site") and all products, services, content, and features offered through the Site (collectively, the "Services").

By accessing the Site, creating an account, placing an order, or otherwise using the Services, you represent and warrant that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and our Shipping & Return Policy, all of which are incorporated herein by reference. If you do not agree to all of these Terms, you are not authorized to use the Site or Services and must discontinue use immediately.

We reserve the right to modify, amend, or update these Terms at any time, with or without prior notice. Modifications become effective immediately upon posting to this page. The "Last Updated" date at the top of these Terms indicates the most recent revision. Your continued use of the Site after the posting of modifications constitutes your acceptance of the modified Terms. It is your responsibility to review these Terms periodically.

2. Eligibility

You must be at least 18 years of age and capable of forming a legally binding contract under applicable law to use the Site and Services. By using the Site, you represent and warrant that you meet these requirements. If you are using the Site on behalf of a business entity, you represent and warrant that you have the authority to bind that entity to these Terms, and you agree to these Terms on behalf of that entity.

We reserve the right to refuse service, terminate accounts, and cancel orders at our sole discretion, including if we believe that your conduct violates applicable law or is harmful to our interests, other customers, or third parties.

3. User Accounts

You may create an account to access certain features of the Site, including order history, saved addresses, and commercial pricing. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

• Provide accurate, current, and complete information during account registration.
• Update your information promptly if it changes.
• Notify us immediately at contact us here if you become aware of any unauthorized use of your account.
• Not share your account credentials with any third party.
• Not create multiple accounts for the purpose of circumventing pricing, promotional, or policy limitations.

RDI is not liable for any loss or damage arising from your failure to maintain the security of your account credentials. We reserve the right to suspend or terminate accounts that violate these Terms or that have been inactive for an extended period.

4. Orders & Payment

4.1 Order Acceptance

Your submission of an order through the Site constitutes an offer to purchase the products in your cart at the listed price. All orders are subject to acceptance by RDI. We reserve the right to refuse or cancel any order for any reason, including but not limited to: product unavailability, pricing errors, suspected fraud, credit issues, or violations of these Terms. If we cancel an order after payment has been processed, we will issue a full refund to your original payment method.

An order confirmation email does not constitute acceptance of your order. Acceptance occurs when the product is shipped and you receive a shipping confirmation email with tracking information.

4.2 Payment

We accept payment via major credit cards (Visa, MasterCard, American Express, Discover), debit cards, Shopify Pay, Apple Pay, Google Pay, and other payment methods as displayed at checkout. All payments are processed securely through Shopify Payments or authorized third-party payment processors. RDI does not store your full credit card information on our servers.

Payment is due in full at the time of order placement, unless you have been approved for Net 30 payment terms under a commercial account agreement. For Net 30 accounts, payment is due within 30 calendar days of the invoice date. Late payments are subject to a 1.5% monthly finance charge (18% annual percentage rate) on the outstanding balance, plus collection costs including reasonable attorney fees if collection action is necessary.

4.3 Sales Tax

RDI collects and remits sales tax as required by applicable state and local law. Sales tax is calculated at checkout based on the shipping destination. Tax-exempt customers with a valid exemption certificate on file are exempt from sales tax on qualifying purchases (see our Tax Exemption page for details and limitations regarding consumable products).

4.4 Currency

All prices on the Site are listed in United States Dollars (USD). We do not accept payment in other currencies.

5. Pricing & Product Information

We make every effort to ensure that product descriptions, specifications, images, and prices on the Site are accurate. However, errors may occasionally occur. RDI reserves the right to correct any errors, inaccuracies, or omissions on the Site at any time without prior notice, including after an order has been placed.

If a product is listed at an incorrect price due to a typographical error or system malfunction, we reserve the right to cancel orders placed at the incorrect price. If your order is canceled for this reason, you will receive a full refund and be notified by email.

Prices are subject to change without notice. The price applicable to your order is the price displayed at the time of checkout. We are not obligated to honor prices that were previously displayed due to a pricing error.

Product images are for illustrative purposes and may not exactly represent the product received. Packaging, labeling, and minor product details may vary from what is shown due to manufacturer updates.

6. Product Warranty & Disclaimer

All products sold by RDI are subject to the manufacturer's warranty, if any. RDI does not provide any additional warranty beyond what the manufacturer offers. We will assist you in navigating the manufacturer's warranty process if needed.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALL PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE." RDI MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that any product will meet your specific requirements, produce specific results, or be suitable for any particular application. Professional users are responsible for determining the suitability of products for their intended use.

Product recommendations, technical guidance, and application suggestions provided by RDI staff (whether by phone, email, chat, or published content) are offered in good faith based on general industry knowledge. They are not guarantees of performance. The user is solely responsible for testing products in their specific conditions and application before full-scale use.

7. Intellectual Property

All content on the Site — including but not limited to text, graphics, logos, images, photographs, illustrations, data compilations, software, audio, video, page layout, and the overall "look and feel" of the Site — is the property of Refinish Distributors Inc. or its content suppliers and is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

The RDI name, logo, and all related product and service names, designs, and slogans are trademarks of Refinish Distributors Inc. Third-party brand names, product names, and logos (including 3M, Sunmight, Evercoat, SATA, SEM, Meguiar's, and others) are trademarks of their respective owners and are used on the Site for product identification purposes only.

You may not reproduce, distribute, modify, create derivative works from, publicly display, transmit, sell, or exploit any content from the Site without our express prior written permission. You may print or download material from the Site for your personal, non-commercial use only, provided you do not modify the content and you retain all copyright and proprietary notices.

8. Prohibited Uses

You agree not to use the Site or Services:

• For any unlawful purpose or in violation of any applicable local, state, national, or international law or regulation.
• To impersonate any person or entity, or to falsely state or misrepresent your affiliation with any person or entity.
• To engage in price scraping, data mining, or unauthorized automated access to the Site (including bots, crawlers, or scripts) except as permitted by our robots.txt file.
• To interfere with or disrupt the Site, servers, or networks connected to the Site.
• To attempt to gain unauthorized access to any portion of the Site, other accounts, or any systems or networks connected to the Site.
• To transmit any viruses, malware, or other harmful code.
• To collect or store personal information of other users without their consent.
• To resell products purchased through the Site as "new" or "authorized" without a written resale agreement with RDI.
• To use the Site to purchase products for the purpose of submitting counterfeit or fraudulent warranty or insurance claims.
• To circumvent or manipulate pricing, promotional, or referral systems.

Violation of this section may result in immediate termination of your account and access to the Site, cancellation of pending orders, and referral to law enforcement authorities where appropriate.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL REFINISH DISTRIBUTORS INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO: LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, LOSS OF BUSINESS OPPORTUNITY, LOSS OF GOODWILL, PERSONAL INJURY, PROPERTY DAMAGE, OR ANY OTHER LOSSES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SITE, YOUR INABILITY TO USE THE SITE, ANY PRODUCT PURCHASED THROUGH THE SITE, OR ANY CONDUCT OF ANY THIRD PARTY ON THE SITE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE USE OF THE SITE OR ANY PRODUCT PURCHASED THROUGH THE SITE EXCEED THE TOTAL AMOUNT YOU PAID TO RDI IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the fullest extent permitted by law.

10. Indemnification

You agree to indemnify, defend, and hold harmless Refinish Distributors Inc. and its officers, directors, employees, agents, licensors, and suppliers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to: (a) your violation of these Terms; (b) your use of the Site or Services; (c) your violation of any rights of a third party; (d) any product misuse, improper application, failure to follow manufacturer instructions, or failure to use appropriate safety equipment; or (e) any content you submit or transmit through the Site.

11. Assumption of Risk

Many products sold on the Site are professional-grade chemical, abrasive, and mechanical products that can cause personal injury or property damage if used improperly. By purchasing products from the Site, you acknowledge and agree that:

• You are a professional or knowledgeable user familiar with the products and their intended use.
• You will read and follow all manufacturer instructions, Safety Data Sheets (SDS), Technical Data Sheets (TDS), and applicable safety guidelines before using any product.
• You will use appropriate personal protective equipment (PPE) as recommended by the manufacturer and applicable safety regulations.
• You assume all risk associated with the use, handling, storage, and disposal of products purchased from the Site.
• RDI is not responsible for any injury, damage, or loss resulting from improper use, failure to follow instructions, or failure to use appropriate safety precautions.

12. Governing Law

These Terms and any dispute arising out of or relating to these Terms or the Site shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of laws principles. You agree that any legal action or proceeding relating to these Terms shall be brought exclusively in the state or federal courts located in Los Angeles County, California, and you consent to the personal jurisdiction and venue of such courts.

13. Dispute Resolution

13.1 Informal Resolution

Before filing any formal legal action, you agree to first contact us at contact us here and attempt to resolve the dispute informally. We will make good-faith efforts to resolve the issue within 30 days. If the dispute is not resolved within 30 days, either party may proceed with formal dispute resolution as described below.

13.2 Binding Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by binding arbitration administered by JAMS (or a successor organization) in accordance with its Streamlined Arbitration Rules and Procedures. The arbitration shall take place in Los Angeles County, California. Judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.

13.3 Class Action Waiver

YOU AND RDI AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. Unless both you and RDI agree otherwise in writing, the arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of class or representative proceeding.

13.4 Small Claims Exception

Notwithstanding the foregoing, either party may bring an individual action in small claims court for disputes within that court's jurisdictional limits.

14. Severability & Waiver

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the parties' original intent.

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. A waiver of any term shall not be deemed a further or continuing waiver of such term or any other term.

15. Entire Agreement

These Terms, together with our Privacy Policy, Shipping & Return Policy, and any other policies referenced herein, constitute the entire agreement between you and Refinish Distributors Inc. regarding your use of the Site and Services. These Terms supersede all prior or contemporaneous agreements, communications, and proposals, whether oral or written, between you and RDI.

16. Force Majeure

RDI shall not be liable for any failure or delay in performance under these Terms arising out of causes beyond our reasonable control, including but not limited to: acts of God, natural disasters, pandemics, epidemics, fire, flood, earthquake, war, terrorism, labor disputes, government actions or orders, utility or telecommunications failures, supply chain disruptions, carrier delays, or any other cause beyond our reasonable control. Performance shall be excused for the duration of the force majeure event.
